Agreement to Our Legal Terms

We are Ask BaZi Pte. Ltd. ("Company," "we," "us," "our").

We operate Ask BaZi, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Ask BaZi Pte. Ltd., concerning your access to and use of the Services.

You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason.

We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

We recommend that you print a copy of these Legal Terms for your records.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. Intellectual Property Rights

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your Use of Our Services

Subject to your compliance with these Legal Terms, including the "Prohibited Activities" section below, we grant you a non-exclusive, non-transferable, revocable license to:

access the Services; and
download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your Submissions

By sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission.

You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

You are responsible for what you post or upload:

confirm that you have read and agree with our "Prohibited Activities";
warrant that your Submissions are original to you or you have the necessary rights to submit them;
waive any moral rights to such Submissions;
and agree you are solely responsible for any losses we suffer due to your Submissions.

3. User Representations

By using the Services, you represent and warrant that:

You have the legal capacity and agree to comply with these Legal Terms.
You are at least 16 years of age.
You will not access the Services through automated or non-human means.
You will not use the Services for any illegal or unauthorized purpose.
Your use of the Services will not violate any applicable law or regulation.

If you provide false or misleading information, we may suspend or terminate your account.

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available.

Prohibited activities include but are not limited to:

Data scraping, database creation, or compilation without permission.
Fraud, deception, or attempts to obtain user credentials.
Circumventing or interfering with security features.
Harassment, abuse, or harm to others.
Uploading malware, spam, or disruptive content.
Unauthorized automated use (bots, scripts, scrapers).
Reverse engineering or adapting our software.
Competing with us using our Services or Content.

5. User Generated Contributions

The Services may allow you to create or share content ("Contributions"). Contributions may be visible to other users or third-party sites.

When you submit Contributions, you represent and warrant that they:

are not unlawful, abusive, or otherwise prohibited under these Legal Terms;
you own or have the rights to submit them;
and they do not violate third-party rights.

6. Contribution License

By submitting Contributions, you grant us a license to access, store, and use them as necessary to provide the Services.

We do not claim ownership over your Contributions. You retain all rights but agree that we may use feedback or suggestions you provide without compensation.

7. Services Management

We reserve the right to:

Monitor the Services for violations.
Take legal action against violators.
Restrict or disable user access.
Remove harmful or excessive content.
Manage the Services for proper functioning.

8. Term and Termination

These Legal Terms remain in effect while you use the Services.

We may suspend or terminate your access without notice for violations. If terminated, you may not register under a new identity.

We may also pursue legal remedies as necessary.

9. Modifications and Interruptions

We may modify or discontinue the Services at any time without notice.

We do not guarantee uninterrupted service and are not liable for downtime, errors, or discontinuation.

10. Governing Law

These Legal Terms are governed by the laws of Singapore.

You consent to the exclusive jurisdiction of the courts of Singapore.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Legal Terms shall first be referred to mediation in Singapore. If the dispute is not resolved within thirty (30) days of the start of mediation, either party may commence legal proceedings in the courts of Singapore, as specified in Section 10.

Restrictions

Arbitration is limited to individual disputes.
No class actions or representative claims.

Exceptions

Disputes involving intellectual property rights, theft, piracy, privacy, or injunctive relief may bypass arbitration.

12. Corrections

We may correct errors, inaccuracies, or omissions in the Services without notice.

13. Disclaimer

The Services are provided "AS IS" and "AS AVAILABLE" without warranties.

We disclaim liability for:

Errors or inaccuracies in content.
Service interruptions or data loss.
Malware or unauthorized access.
Third-party links, ads, or services.

14. Limitations of Liability

We are not liable for indirect, incidental, or consequential damages.

Our liability is limited to the amount paid by you to us, if any.

15. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

Your use of the Services.
Breach of these Legal Terms.
Violation of third-party rights.
Harmful actions toward other users.

16. User Data

We maintain certain data related to your use but are not responsible for data loss or corruption.

17. Electronic Communications, Transactions, and Signatures

You consent to electronic communications and agree they satisfy legal requirements for written agreements.

You waive any rights requiring original signatures or physical documents.

18. Miscellaneous

These Legal Terms and related policies are the entire agreement between you and us.

Failure to enforce any provision does not waive our rights. If a provision is invalid, the rest remains enforceable.

No partnership, joint venture, or agency is created by your use of the Services.
